Other Events. On April 27, 2026, Flushing Financial Corporation, a Delaware corporation (“Flushing”), and OceanFirst Financial Corp., a Delaware corporation (“OceanFirst”), announced that the Board of Governors of the Federal Reserve System granted its approval, on April 24, 2026, of the previously announced combination of Flushing and OceanFirst as well as Flushing’s and OceanFirst’s respective bank subsidiaries, Flushing Bank and OceanFirst Bank, N.A., pursuant to the Agreement and Plan of Merger, dated as of December 29, 2025 (the “Merger Agreement”), by and among Flushing, OceanFirst and Apollo Merger Sub Corp., a Delaware corporation and wholly-owned subsidiary of OceanFirst. In addition, the New York State Department of Financial Services and the Office of the Comptroller of the Currency granted their requisite approval of the proposed transaction on March 23, 2026 and April 6, 2026, respectively. With the foregoing approvals, no further regulatory approvals are required to complete the proposed transaction. The parties anticipate that the proposed transaction will close no later than June 1, 2026, subject to the satisfaction or waiver of the remaining closing conditions set forth in the Merger Agreement.
