(e) Following the appointment of Robert D. Wright as the President and Chief Executive Officer of The Wendy’s Company (the “Company”), in order to maintain continuity and recognize the performance and growth of the Company’s International business, on July 22, 2026, the Compensation and Human Capital Committee of the Board of Directors of the Company approved a one-time restricted stock unit award with a grant date fair value of $500,000 to E.J. Wunsch, President, International, under the Company’s 2020 Omnibus Award Plan. The award will be granted effective August 11, 2026. The award will vest in substantially equal installments on each of the first two anniversaries of the date of grant, subject to Mr. Wunsch’s continued employment on the applicable vesting dates.
